1. Introduction
1.1 About this Agreement
This Software Licence Agreement (“Agreement”) sets out the terms under which OpenGenius Ltd (“OpenGenius”, “we”, “us” or “our”) provides access to the Study Slam software platform and related services (“Study Slam”, “the Service” or “the Platform”).
Study Slam is an assistive learning technology platform designed to support students with learning, organisation and study activities through digital tools, including (where enabled):
- study planning and organisation features;
- AI-assisted learning features;
- summaries and study resources;
- quizzes and learning activities;
- audio and podcast-style learning outputs;
- accessibility features and assistive technology functionality.
This Agreement applies to users who access Study Slam through:
- authorised assistive technology resellers;
- education providers;
- institutional arrangements;
- direct subscription arrangements where available.
By accessing or using Study Slam, you agree to comply with this Agreement, our Terms & Conditions, Acceptable Use Policy, Privacy Policy and Accessibility Statement, which together form the Study Slam legal and governance framework.
1.2 Important Information
Study Slam is intended to support learning and accessibility. It is not designed to replace: professional educational judgement;
- teaching staff;
- academic assessment processes;
- institutional academic policies.
Users remain responsible for how they use Study Slam outputs and materials, including ensuring that their use complies with applicable academic integrity requirements.

References to OpenGenius in this Agreement include our employees, contractors, suppliers and authorised service providers involved in delivering the Service.
2. Definitions
For the purposes of this Agreement:
“AI Features” means any artificial intelligence-enabled functionality within Study Slam, including AI-assisted summaries, quizzes, study suggestions, content generation, translation, audio generation or similar features.
“Authorised Reseller” means an organisation authorised by OpenGenius to supply access to Study Slam to eligible users.
“Education Provider” means a school, college, university, training provider or other educational organisation using Study Slam.
“Subscription” means the period during which a User is permitted to access Study Slam under an applicable licence arrangement.
“User” means an individual authorised to access Study Slam, including a student, learner, educator or administrator.
“User Content” means any information, documents, notes, files, materials, prompts or other content uploaded, created or submitted by a User through Study Slam.
“Educational Materials” means learning resources, study materials, templates, guidance, content or other educational resources made available through Study Slam.
“Service” means the Study Slam platform, applications, features, functionality, updates and related services provided by OpenGenius.
3. Scope of Agreement
3.1 Licence Relationship
OpenGenius grants Users a limited, personal, non-exclusive, non-transferable right to access and use Study Slam during the applicable Subscription period, subject to this Agreement.
The licence granted under this Agreement is a right to access and use the Service. It does not transfer ownership of Study Slam or any underlying software, technology or intellectual property.
3.2 Acceptance of Terms
By:
- creating a Study Slam account;
- activating a Subscription;
- accessing the Service;
- using any Study Slam feature;
you confirm that you have read and accepted this Agreement.
Where access is provided through an Authorised Reseller or Education Provider, that organisation may also have separate contractual arrangements with OpenGenius.
3.3 Related documents
This Agreement should be read together with:
- Study Slam Terms & Conditions;
- Study Slam Acceptable Use Policy;
- Study Slam Privacy Policy;
- Study Slam Accessibility Statement.
Where there is a conflict between documents, the following order of priority applies unless otherwise stated:
- any written commercial agreement between OpenGenius and an organisation;
- this Software Licence Agreement;
- Study Slam Terms & Conditions;
- Acceptable Use Policy;
- Privacy Policy and Accessibility Statement for their respective subject matters.
4. Licence Grant and Access Rights
4.1 Grant of Licence
Subject to compliance with this Agreement, OpenGenius grants the User permission to access and use Study Slam solely for permitted educational and learning purposes during the Subscription period.
The licence includes the right to:
- access available Study Slam features;
- create and manage permitted User Content;
- use accessibility and assistive technology functionality;
- use AI Features where included within the relevant Subscription.
4.2 Restrictions
Users must not:
- copy, reproduce, modify or distribute Study Slam software;
- reverse engineer, decompile or attempt to extract source code;
- rent, lease, sublicense or commercially exploit access to Study Slam;
- allow unauthorised individuals to use their account;
- remove copyright, branding or ownership notices;
- use Study Slam to develop a competing product or service.
4.3 Personal use
Unless otherwise agreed in writing, Study Slam access is provided to the named User and must not be shared.
Users are responsible for maintaining the confidentiality of their account credentials.
5. Eligibility and authorised access
5.1 Eligibility
Study Slam is designed for students aged 18+ in education. Access to Study Slam may be provided based on eligibility requirements determined by:
- an Authorised Reseller;
- an Education Provider;
- a Subscription arrangement;
- applicable funding or support programmes.
OpenGenius does not determine eligibility for third-party funding schemes unless expressly agreed.
5.2 Users Under 18
Where Study Slam is used by individuals under 18:
- access may be provided through an Education Provider, parent, guardian or authorised organisation;
- the relevant organisation remains responsible for ensuring appropriate permissions and safeguarding arrangements are in place;
- Users must comply with applicable institutional policies.
OpenGenius designs Study Slam with privacy, security and accessibility considerations in mind but does not replace the safeguarding responsibilities of schools, colleges, universities, parents or guardians.
5.3 Account information
Users must provide accurate information where required and must keep account details up to date.
OpenGenius may suspend accounts where information provided is inaccurate, fraudulent or where access requirements are no longer met.
6. Subscription and access
6.1 Subscription period
Access to Study Slam is provided for the Subscription period purchased or allocated through:
- an Authorised Reseller;
- an Education Provider;
- another approved arrangement.
Access will end when the Subscription expires unless renewed.
6.2 Changes to Subscription Features
OpenGenius may introduce, improve, modify or remove features where reasonably required to:
- improve security;
- maintain service quality;
- comply with legal obligations;
- improve accessibility;
- develop the Service.
Where changes materially reduce core functionality, OpenGenius will take reasonable steps to communicate this through appropriate channels.
6.3 Trials and promotional access
Where trial or promotional access is provided, additional conditions may apply.
Trial access does not create an obligation for OpenGenius to continue providing the Service beyond the trial period.
7. Authorised Resellers and Education Providers
7.1 Reseller Model
Where Study Slam is supplied through an Authorised Reseller:
- the reseller may manage commercial arrangements with the User or organisation;
- OpenGenius remains responsible for operating the Study Slam platform;
- the reseller may provide additional services independently of OpenGenius.
7.2 Reseller Responsibilities
Authorised Resellers are responsible for:
- communicating applicable commercial terms;
- ensuring customers understand how access is provided;
- providing accurate information regarding eligibility;
- complying with applicable laws and contractual obligations.
7.3 Education Provider Responsibilities
Education Providers remain responsible for:
- managing student access where applicable;
- ensuring appropriate use within their organisation;
- applying their own academic integrity and safeguarding policies;
- determining whether Study Slam is appropriate for their learners.
8. User Accounts and Security Responsibilities
8.1 Account security
Users must:
- keep login credentials confidential;
- use reasonable security precautions;
- notify OpenGenius or the relevant administrator if they suspect unauthorised access.
8.2 Account misuse
Users must not:
- attempt to gain unauthorised access;
- interfere with the operation of Study Slam;
- bypass security controls;
- misuse another person’s account.
Suspected misuse may result in investigation and suspension in accordance with this Agreement and the Acceptable Use Policy.
8.3 Security Measures
OpenGenius maintains appropriate technical and organisational security measures designed to protect the Service and User data.

9. Acceptable use
9.1 Permitted use
Study Slam must be used responsibly, lawfully and in accordance with this Agreement and the Study Slam Acceptable Use Policy.
Permitted use includes:
- organising and managing personal study activities;
- creating learning resources;
- supporting revision and understanding;
- using accessibility features to support learning needs;
- using AI Features as a learning aid where available.
9.2 Prohibited use
Users must not use Study Slam:
- for unlawful purposes;
- to upload or share content that infringes another person’s rights;
- to harass, threaten, abuse or harm others;
- to distribute malicious software;
- to attempt to compromise the security or availability of the Service;
- to generate or distribute harmful, misleading or inappropriate content;
- to impersonate another person;
- to misuse AI Features in a way that breaches academic, institutional or legal requirements.
Further requirements are set out in the Study Slam Acceptable Use Policy.
10. Educational use and Academic Integrity
10.1 Purpose of Study Slam
Study Slam is designed to support learning, accessibility and independent study.
It may assist Users by helping them:
- understand information;
- organise notes;
- revise topics;
- create study materials;
- explore concepts;
- improve accessibility and engagement.
Study Slam is not intended to replace a User’s own learning, judgement or academic responsibility.
10.2 Academic Integrity
Users remain responsible for ensuring that their use of Study Slam complies with:
- applicable school, college or university policies;
- examination regulations;
- academic integrity requirements including copyright and plagiarism guidelines
- assessment rules.
Users must not present AI-generated outputs or Study Slam-generated materials as their own work where this would breach academic rules.
10.3 Institutional requirements
Education Providers may establish additional requirements regarding:
- permitted use of AI tools;
- submission of assessed work;
- citation or acknowledgement requirements;
- acceptable study practices.
Users are responsible for following those requirements at all times.
11. AI-Enabled Features and responsible AI
11.1 AI Features
Study Slam may include AI-enabled functionality, including:
- generating summaries;
- creating quizzes;
- suggesting study approaches;
- assisting with learning materials;
- generating audio or podcast-style study content;
- providing other AI-assisted learning features.
Availability of AI Features depends on the User’s Subscription and the version of Study Slam available.
11.2 AI output limitations
AI-generated outputs may not always be accurate, complete or suitable for a particular purpose.
Users should:
- review AI-generated content before relying on it;
- verify important information;
- apply their own judgement;
- seek appropriate educational or professional advice where required.
OpenGenius does not guarantee that AI-generated content will be error-free.
11.3 Responsible AI use
OpenGenius develops and manages AI-enabled functionality in accordance with responsible AI principles as described in the global AI ISO Standard 42001:2023:
- Fairness
- Transparency
- Safety
- Security
- Privacy
- Data Quality
- Human Oversight and Control
- Accountability
OpenGenius maintains appropriate governance processes for AI-enabled services, including consideration of recognised AI management principles and integration of these across product development and operations.
11.4 AI Training and User content
- User content is not used to train publicly available AI models;
- User content remains subject to the protections described in this Agreement and the Privacy Policy;
- Processing of User content is limited to providing, securing and improving the Service.
Where AI providers or third-party technology suppliers are used, OpenGenius manages those relationships in accordance with applicable contractual and security requirements aligned with the EU AI Act and UK GDPR as a minimum.
12. User content and educational materials
12.1 Ownership of User content
Users retain ownership of User content they upload, create or submit through Study Slam.
This may include:
- personal notes;
- uploaded documents;
- study plans;
- learning materials created by the User;
- prompts or information provided to AI Features.
Nothing in this Agreement transfers ownership of User content to OpenGenius.
12.2 Licence to provide the Service
To operate Study Slam, Users grant OpenGenius a limited, worldwide, non-exclusive licence to process User content solely for purposes including:
- providing the Service;
- enabling requested features;
- maintaining security;
- preventing misuse;
- improving reliability and performance.
This licence ends when it is no longer required for these purposes, subject to lawful retention requirements.
12.3 User responsibilities
Users are responsible for ensuring that User Content:
- belongs to them or is used with permission;
- does not infringe copyright or other rights;
- complies with applicable laws and policies;
- does not contain unlawful or harmful material.
12.4 Educational materials provided by OpenGenius
Unless otherwise stated:
- Educational materials provided by OpenGenius remain owned by OpenGenius or its licensors;
- Users may use such materials only as part of their authorised Study Slam access;
- Users must not reproduce, sell, distribute or commercially exploit those materials.
12.5 Third-Party educational content
Where content is supplied by third parties, ownership remains with the relevant rights holder.
Additional terms may apply to third-party materials.
13. Intellectual Property Rights
13.1 OpenGenius Ownership
OpenGenius owns or licences all rights in:
- Study Slam software;
- platform architecture;
- designs;
- interfaces;
- branding;
- documentation;
- underlying technology;
- AI systems and integrations.
Except for the limited licence expressly granted under this Agreement, no rights are transferred to Users.
13.2 Feedback and Suggestions
If Users provide feedback, suggestions or ideas about Study Slam, OpenGenius may use that feedback to improve the Service without restriction.
Feedback does not transfer ownership of User content.
13.3 Intellectual Property Infringement
Users must notify OpenGenius if they believe that content or use of Study Slam infringes intellectual property rights.
OpenGenius will investigate concerns and take appropriate action where required.
14. Accessibility and Assistive Technology
14.1 Accessibility Commitment
OpenGenius designs Study Slam to support inclusive learning and accessibility.
The Service includes features intended to support users with different learning preferences and accessibility needs.
14.2 Accessibility Features
Depending on availability, Study Slam may include features such as:
- adjustable display settings;
- alternative learning formats;
- accessible content presentation;
- Assistive Technology support.
14.3 Accessibility development
OpenGenius seeks to continually improve accessibility through product development, user feedback and consideration of recognised accessibility standards.
OpenGenius does not guarantee that every feature will be suitable for every individual accessibility requirement.
14.4 Assistive Technology supply
Where Study Slam is supplied as assistive technology:
- Eligibility decisions may be made by relevant funding bodies, education providers or resellers as opposed to OpenGenius;
- OpenGenius provides the technology platform;
- Suitability assessments remain the responsibility of the relevant organisation or professional adviser.
15. Updates and improvements
15.1 Service evolution
Study Slam is continually developed.
OpenGenius may release:
- updates;
- improvements;
- security patches;
- feature enhancements;
- technical changes.
At any time. Any significant changes that materially impact the performance or availability of Study Slam will be communicated in advance wherever possible.
15.2 Compatibility
Users are responsible for ensuring that their devices and systems meet any published technical requirements.
OpenGenius may update technical requirements where necessary to maintain security, performance or compatibility.
16. Security
16.1 Security measures
OpenGenius maintains appropriate technical and organisational measures designed to protect:
- the Study Slam platform;
- User Content;
- personal data;
- service availability.
This includes but is not limited to:
- The implementation of Secure by Design Principles;
- ISO27001:2022 certification
- Registration with the ICO
- Cyber Essentials+ certification
- Alignment with ISO42001:2023
- Alignment with UK Government MOD security standards
16.2 Security responsibilities
Users must:
- protect account credentials;
- avoid sharing access;
- report suspected security issues;
- follow security guidance provided by OpenGenius.
16.3 Security incidents
Where a security incident affects personal data or the Service, OpenGenius will respond in accordance with applicable legal obligations and internal incident management procedures.
This includes:
Initial assessment
We aim to complete an initial cybersecurity assessment within:
24 hours of discovering a suspected security incident.
This assessment helps us determine:
- the nature and scope of the incident;
- affected systems or data;
- containment and remediation actions required;
- whether customer or regulatory notification may be necessary.
Customer notification
Where we determine that a security incident has affected customer data or materially impacts customer use of Ayoa, we aim to notify affected customers within:
48 hours of confirmation of the impact, where reasonably practicable.
Notifications may include available information regarding:
- the nature of the incident;
- affected services or data;
- actions taken to address the issue;
- steps customers may need to take.

17. Third-Party Services
17.1 Third-Party Providers
Study Slam may rely on third-party services, including:
- hosting providers;
- AI technology providers;
- accessibility technologies;
- infrastructure providers;
- integration partners.

17.2 Third-Party Terms
Certain third-party services may be subject to additional terms.
OpenGenius selects and manages suppliers in accordance with appropriate security and governance processes.
17.3 Third-Party availability
OpenGenius is not responsible for failures caused solely by third-party services outside its reasonable control, but will take reasonable steps to manage their impact.
18. Service levels and support
Scope
We aim to provide a reliable and secure Study Slam service and provide support to users experiencing issues with the platform.
The service levels and support commitments below apply generally to Study Slam users. Additional service commitments may be agreed separately with enterprise, education, public sector or other customers through written agreements.
Uptime and performance
We cannot guarantee uninterrupted availability at all times, but we work to minimise service disruption and maintain reliable access to Study Slam.
We achieve consistently high levels of service availability through our own operational processes and collaboration with our cloud infrastructure providers.
Service availability may be affected by circumstances outside our reasonable control, including:
- third-party service provider failures;
- internet connectivity issues;
- customer devices, systems or network environments;
- emergency maintenance required to protect security or system integrity;
- events outside our reasonable control.
Application updates and maintenance activities are delivered outside core operational hours where reasonably practicable to minimise disruption.
Help Desk response times
We aim to provide first responses to support requests within:
72 hours / 3 business days
Support hours are: 9:00am – 4:00pm Monday to Friday, excluding public holidays.
Resolution times vary depending on the complexity of the issue.
We aim to resolve standard support issues within:
7 working days
Where resolution requires additional investigation, software development, supplier support or other technical work, we will provide updates and revised timescales where appropriate.
Planned and unplanned outages
Where reasonably practicable, we will provide notice of planned maintenance or service interruptions.
For planned downtime:
- we aim to provide a minimum of 48 hours’ notice by email;
- where possible, we will provide up to 7 days’ notice.
Emergency maintenance may take place without prior notice where required to protect:
- security;
- service availability;
- system integrity;
- customer data.
For unexpected interruptions, we will communicate updates as soon as reasonably practicable through available channels, including:
- email;
- service notifications;
- website updates;
- other appropriate communication channels.
